Terms of Service

Use LP Search Engine (LPSE) responsibly to manage your investor relationships.

1) What LP Search Engine Does

LPSE is relationship management and analysis software that helps you:

• Search and organize Limited Partner (LP) contact information
• Track communications and relationship history
• Analyze call transcripts and meeting notes
• Generate AI-assisted insights about relationships and outreach

2) Your Account

• You sign in using a Google account associated with an authorized email domain.
• You're responsible for maintaining the confidentiality of your login and access.
• Please notify us promptly if you believe your account has been compromised.

3) Using LPSE

We built LPSE for professional, legitimate business use. In general, please:

• Use LPSE in a way that is consistent with applicable laws and professional obligations
• Respect privacy and confidentiality commitments connected to the data you store in LPSE
• Let us know about suspected security issues so we can fix them quickly

4) Your Data

• You own your content. This includes LP contact records, emails, notes, transcripts, and other information you upload in your workspace ("Customer Data").
• Permission to operate the service. You grant LPSE a limited permission to host, process, transmit, and display Customer Data as needed to provide and improve the service, support you, maintain security and reliability, and as otherwise described in these Terms.

5) AI Features

Some features (such as chat, transcript analysis, intel detection, and summarization) are powered by AI technology, which may include proprietary models hosted on our own infrastructure as well as third-party AI providers. By using AI features:

• You acknowledge that relevant text and data may be processed by our AI systems — and, where applicable, by third-party providers — to deliver the feature
• We may use data generated through your use of the platform, including search queries, transcripts, intel, and related content, to train, improve, and develop our AI models
• AI responses are generated content and may not always be accurate
• You're responsible for verifying AI-generated insights

If you prefer that your data not be used to train or improve our AI models, you may opt out at any time by emailing info@lpsearchengine.com, and we will honor your request within 30 days.

6) LPSE Software

• During your subscription term, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use LPSE for your internal business purposes in accordance with these Terms.
• If you share suggestions or feedback, you allow us to use it without restriction or obligation, including to improve LPSE.

7) Payment and Billing

Billing and Renewal

• Subscriptions are billed on a monthly basis under a 6-month or 12-month commitment term, depending on your plan.
• Your subscription will automatically renew for an additional term of the same length unless you provide written notice of cancellation at least 30 days before the end of your current term.
• If you cancel after the renewal date, you remain responsible for payments through the end of the renewed term.
• We will notify you of any fee changes at least 30 days before they take effect. Continued use of the service after a price change constitutes acceptance of the new fees.

Refunds

All payments are non-refundable except where required by applicable law. If we terminate your account for reasons other than a violation of these Terms, we will provide a pro-rata refund of any prepaid payments for the unused portion of your subscription.

Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes, and we may charge tax where required by law.

Late Payment

If payment is overdue, we may suspend access to the service after providing at least 10 days' written notice. Suspension does not relieve your obligation to pay outstanding fees. Late payments will incur a 5% fee per month.

8) Service Availability

• We aim for high availability but don't guarantee 100% uptime
• We may perform maintenance that temporarily affects access
• We'll try to notify you of planned downtime in advance

9) Changes to Terms

We may update these terms occasionally. If we make significant changes, we'll notify you via email or in-app notification.

10) Termination

You can stop using LP Search Engine at any time. We may suspend or terminate accounts that violate these terms.

11) Limitation of Liability

LP Search Engine is provided "as is." We're not liable for any indirect, incidental, or consequential damages arising from your use of the platform.

12) Governing Law

This agreement will be governed by the laws of Delaware, United States.
